Important Legal Notice
By accessing or using the Ignite Platform, you agree to be bound by these Terms of Service. If you do not agree, please do not use the platform.
Parties: These Terms constitute a legal agreement between you (“User”, “you”) and R SHORT HOLDINGS LIMITED (“Ignite”, “we”, “us”, or “our”).
1. Interpretation
In these Terms:
"Platform" means the Ignite software-as-a-service platform.
"Services" means all features, tools, and support provided.
"Content" means all data, materials, and information you submit.
"Subscription" means your paid access to the Platform.
2. Licence Grant
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable licence to access and use the Platform for your internal business purposes.
3. Your Obligations
You agree to:
Provide accurate registration information.
Maintain the confidentiality of your account credentials.
Comply with all applicable laws.
Not misuse or attempt to reverse-engineer the Platform.
Not share your account with unauthorized users.
4. Fees and Payment
Subscription fees are set out in your order form or the Platform’s pricing page. Fees are payable in advance and are non-refundable unless otherwise agreed.
We reserve the right to change pricing with 30 days’ notice to existing subscribers.
5. Intellectual Property
All intellectual property rights in the Platform, including software, design, content, and trademarks, are owned by or licensed to us.
You retain ownership of your Content, but grant us a licence to use it solely to provide the Services.
6. AI and Data Processing
The Platform uses AI to process your Content and provide insights. By using the Platform, you consent to this processing. We do not use your Content to train third-party AI models without your explicit consent.
7. Service Levels and Availability
We aim to provide 99.5% uptime, excluding scheduled maintenance. We are not liable for downtime caused by factors beyond our control.
8. Data Protection
We process your personal data in accordance with our Privacy Policy and applicable data protection laws (GDPR, UK Data Protection Act 2018).
9. Confidentiality
Both parties agree to keep confidential information secret, except as required by law or with prior written consent.
10. Limitation of Liability
To the fullest extent permitted by law:
We are not liable for indirect, consequential, or special damages.
Our total liability is limited to the fees paid by you in the 12 months prior to the claim.
Nothing in these Terms excludes liability for death, personal injury, or fraud.
11. Term and Termination
These Terms begin when you create an account and continue until terminated. Either party may terminate with 30 days’ written notice.
We may suspend or terminate your access immediately for breach of these Terms or non-payment.
12. General
Governing Law: These Terms are governed by the laws of England and Wales.
Jurisdiction: Disputes will be resolved in the courts of England and Wales.
Entire Agreement: These Terms constitute the entire agreement between the parties.
Changes: We may update these Terms with notice. Continued use constitutes acceptance.
